Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Exclvsive App and related services (the "Service"), operated by Exclvsive LLC ("we," "us," or "our"), located at 1001 Bishop St. STE 2685A, Honolulu, HI 96813, USA. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.

2. Accounts and Sign-In

You access the Service by signing in with a third-party authentication provider (Discord). You are responsible for maintaining the security of the account you use to sign in and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, Billing, and Trials

• The Service is offered on a recurring subscription basis. Pricing is shown at sign-up and is billed in advance on a recurring basis until cancelled.
• Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring basis.
• If a free trial is offered, your subscription automatically converts to a paid subscription at the end of the trial period unless you cancel before it ends.
• You may cancel at any time through your account. Cancellation stops future charges; it does not retroactively refund the current billing period unless required by law.
• We may change pricing with notice. Price changes apply to billing periods after the notice.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or third-party rights.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, copy, resell, or redistribute the Service except as permitted by law.
• Interfere with or disrupt the integrity or performance of the Service.

5. Your Data

The Service is a tool for organizing your own business records. Business data you enter (such as orders, inventory, sales, and financial records) is stored on your device and, if you choose to connect it, in your own Google Drive. We do not store your business data on our servers. We store only the limited account information needed to operate the Service, as described in our Privacy Policy.

You are responsible for the accuracy of your data and for maintaining your own backups. We are not responsible for data loss arising from your device, your Google account, or third-party services.

6. Third-Party Services

The Service integrates with third-party services including Discord (sign-in), Stripe (payments), Google Drive (optional backup), and, if you choose, OpenAI (AI features using your own API key). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

7. AI Features

The Service may offer optional AI features that operate using an API key you provide. Any output is generated by the third-party AI provider, may be inaccurate, and should not be relied upon as financial, tax, legal, or professional advice. You are responsible for verifying any output before acting on it.

8. No Professional Advice

The Service provides tools for tracking and reporting. It does not provide accounting, tax, legal, or financial advice. You are solely responsible for your tax filings, financial decisions, and legal compliance. Consult a qualified professional.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by Exclvsive LLC and protected by intellectual property laws. These Terms do not grant you any ownership in the Service. You retain ownership of your own data.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Exclvsive LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Honolulu County, Hawaii, and you consent to their jurisdiction.
